Key Responsibilities

• Draft and review materials for public and private securities offerings
• Prepare SEC disclosures and filings under the ’33 and ’34 Acts
• Advise clients on corporate governance and compliance matters
• Conduct in-depth legal research on federal and state securities laws
• Collaborate with partners and clients on complex capital markets transactions
• Assist in maintaining regulatory compliance and disclosure accuracy
• Support cross-border and multi-jurisdictional securities matters

Qualifications

• 3–6 years of experience as a Corporate Securities Attorney or Capital Markets Attorney
• Strong understanding of securities regulations, including the ’33 Act, ’34 Act, Regulations S-K and S-X
• Experience working at a top-tier law firm or Am Law firm preferred
• Admission to the New York Bar required
• Excellent academic credentials and stable work history
• Strong analytical, drafting, and communication skills
• Ability to manage multiple matters in a fast-paced environment
