Job description

The Opportunity

FE International is a leading technology-focused M&A advisory firm specializing in transactions across SaaS, consumer internet, and e-commerce. We advise founders, private equity sponsors, and institutional sellers on high-impact transactions.

Compensation is competitive and benchmarked to top-tier investment banking and transaction advisory roles in India, with performance-based upside.

This is a hands-on role spanning the full M&A lifecycle, from valuation and positioning through live process execution, buyer negotiations, diligence coordination, and closing. You will work directly with senior team members on active mandates, and your output will be used in client-facing materials and buyer interactions. You will play a key role in supporting execution across multiple live mandates, working closely with senior team members to ensure processes run efficiently and materials are delivered to a high standard.

Location & Working Model

  • Fully remote, India-based role
  • Significant overlap required with U.S. Eastern Time working hours
  • Participation in client and buyer calls as part of live deal execution

Responsibilities

Valuation & Financial Analysis

  • Build and maintain financial models, including P&L normalization, EBITDA adjustments, working capital analysis, and ad-hoc analyses
  • Conduct business valuations across precedent transactions, public comparables, DCF, LBO, and revenue/EBITDA benchmarking
  • Analyze SaaS and recurring revenue metrics (ARR, MRR, churn, NRR, CAC/LTV, cohort retention)
  • Develop financial schedules covering deferred revenue, earnouts, debt-like items, and working capital analysis

Deal Execution & Process Management

  • Support end-to-end sell-side processes including marketing material development, buyer outreach, NDA execution, management presentations, and IOI / LOI evaluation
  • Support the maintenance and ongoing accuracy of deal process trackers (e.g., marketing trackers, buyer logs, diligence trackers), ensuring timely updates and clear visibility
  • Manage data rooms and diligence processes across multiple workstreams
  • Prepare diligence response materials across financial, operational, and legal workstreams
  • Support multiple live mandates simultaneously, managing competing priorities while maintaining quality and responsiveness
  • Assist with APA / SPA review and coordination with legal advisors
  • Work closely with senior team members to support execution across all phases of live transactions

Marketing Materials

  • Support development and iteration of client-ready marketing materials (CIMs, teasers, buyer communications, and process updates)
  • Support drafting and refinement of materials, ensuring outputs are clear, accurate, and client-ready
  • Develop financial exhibits and charts to support investor discussions
  • Prepare internal deal updates and summary materials

Market Research & Buyer Universe

  • Support development of buyer universes and market analysis
  • Assist with tracking transaction activity and evaluating inbound opportunities

Client & Team Support

  • Work with clients to collect and validate financial and operational data
  • Prepare client communications and deal updates
  • Identify inconsistencies and key financial considerations for senior review
  • Manage multiple concurrent workstreams with strong attention to detail

Required Skills & Competencies

  • Advanced Excel proficiency, including financial modeling and scenario analysis
  • Strong financial statement fluency
  • Analytical mindset with ability to synthesize data into clear conclusions
  • Excellent written communication skills
  • Ability to manage multiple priorities in a fast-paced environment
  • High ownership and self-sufficiency
  • Demonstrated ability to independently own deliverables in a live deal environment with minimal oversight
  • Comfort working with imperfect data and ambiguity
  • Strong attention to detail and collaborative mindset

Experience & Education

  • 2–4 years of relevant experience for Analyst; 4–6 years for Senior Analyst
  • Experience in investment banking, transaction advisory, or financial due diligence
  • Prior exposure to M&A processes preferred
  • Strong academic background in finance, accounting, economics, or related fields
  • Professional certifications (CFA, CPA, ACCA) are a plus
