Job description

The Washington, DC office of a major law firm seeks a Corporate and Project Finance associate for its DC office. The firms attorneys are ranked in 2013 edition, and the firm’s presence in the guide has increased by 26 attorneys over the past four years. The ideal candidate will have superior academics from a top tier law firm and excellent writing skills. 

  • Three + years’ experience with a project finance and project development practice
  • Familiarity with the electricity sector and structure
  • Familiarity and preferably drafting experience with power purchase agreements, construction contracts, supply contracts, and other commercial project documents, project permitting, project real estate requirements
  • Experience with project and company M&A, including diligence
  • Three+ years’ experience in mid-market M&A, including drafting of transaction documents
  • Good command of Excel spreadsheets in connection with capitalization calculations and distributions allocations
  • Experience with large-scale diligence work in M&A/financing transactions, including with drafting diligence memos for senior attorneys and clients
  • Experience with drafting and negotiating disclosure schedules
  • Experience with work under pressure with challenging timelines
  • Experience with project debt and equity financings
  • Experience with managing transactions closings, including closing deliverables and logistics
