Job description
IFS Softeon is seeking an experienced attorney for the role of Corporate Counsel. This position is for a thoughtful transactional attorney to assist IFS Softeon with all of its legal obligations, ranging from negotiating high-value commercial contracts to corporate governance to M&A to dispute management.
In this highly collaborative role, you will:
- Serve as primary attorney for new sales transactions, including drafting and negotiating software license agreements, consulting agreements, SaaS agreements, and other commercial contracts;
- Lead Biz Ops calls and collaborate with IFS Softeon's business teams, providing accurate and timely legal advice with integrity and responsibility, especially to Sales, Services, Finance, Marketing, and Partner teams;
- Serve as lead attorney for legal operations, including improving legal processes and procedures and the development of standard contract terms;
- Serve as primary attorney for corporate governance matters and provide primary legal support for audit, tax/treasury, HR/employment relations disputes, and real estate matters (leases, construction, etc.);
- Work collaboratively with the broader IFS Softeon legal team by sharing knowledge, helping out team members, and contributing to legal newsletters and training as assigned by the CFO of IFS Softeon and the Legal Team;
- Support global legal projects as assigned by the CFO and the Legal Team and coordinate with outside counsel as necessary;
- Keep up to date with changes in laws and regulation and maintain a deep industry knowledge; perform other tasks as assigned or delegated by the General Counsel.
This is a hybrid position with the expectation of being in the Itasca office at least 1-2 days per week.
Required
- Juris Doctor from an ABA-accredited law school
- A minimum of 3 years of commercial transactional experience at a law firm and/or in-house legal department
- Licensed and in good standing to practice law in one or more states
- Experience drafting and negotiating commercial contracts
- Strong attention to detail and proven ability to prioritize competing demands in a fast-paced environment
- Ability to work independently and demonstrate sound judgment to make real time decisions in ambiguous situations
- Strong interpersonal, written and oral communication, and organizational skills
- Interest in being a legal generalist
- A "roll-up your sleeves" attitude -- no project is too big or too small for you
Preferred
- Experience as an in-house attorney, preferably for a technology company
- Experience drafting and negotiating software/cloud/SaaS agreements
- Experience handling disputes without the assistance of outside counsel
