Job Purpose As a Senior Legal Counsel at Tarjama&, you will be responsible for leading Tarjama&'s legal department and ensuring the delivery of high-quality, strategic legal support across the organization. This role oversees all legal operations, including contract management, regulatory compliance, risk mitigation, corporate governance, and litigation. The Senior Legal Counsellor provides expert legal counsel to executives, manages external legal partnerships, and ensures the protection of Tarjama&'s legal and commercial interests. As the head of the Legal Department, they will also mentor and manage a team of legal professionals, fostering a culture of excellence, accountability, and proactive legal support. Duties & Responsibilities Legal Advisory & Compliance Provide proactive legal advice and strategic recommendations to safeguard Tarjama&'s interests. Prepare written legal opinions and guidance for Tarjama&'s executives and leadership. Ensure company-wide compliance with legal requirements and internal policies. Monitor changes in laws, regulations, and industry standards affecting operations, and coordinate with relevant departments accordingly. Participate in internal investigations related to incidents, violations, or matters escalated to the Legal Department. Advise the Board of Directors and General Assembly on corporate legal matters. Contract Management & Negotiations Draft, review, and negotiate a wide range of contracts, agreements, and legal documents with clients, vendors, and third parties. Approve standard templates for contracts to be used across departments. Participate in high-stakes negotiations such as joint ventures, mergers & acquisitions, technical agreements, and management contracts. Legal Research & Risk Management Conduct thorough legal research and analysis of statutes, case law, and regulatory frameworks relevant to Tarjama&'s business. Identify potential legal risks and provide actionable solutions to minimize exposure. Litigation & External Counsel Coordination Represent Tarjama& in legal matters and liaise with external counsel in cases of litigation, arbitration, or dispute resolution. Oversee the management of ongoing legal proceedings and maintain relevant documentation and records. Intellectual Property & Regulatory Affairs Assist in managing the company’s intellectual property portfolio, including trademarks, patents, and copyrights. Oversee preparation and submission of legal documents, forms, and regulatory filings required by authorities. Corporate Licensing & Governance Ensure that all Tarjama& branches and sister companies maintain valid corporate licenses and legal documentation. Oversee renewal and compliance of business licenses and legal status across jurisdictions. Department Leadership & Team Management Lead and supervise the overall workflow of the Legal Department, ensuring efficient operations and alignment with organizational goals. Manage, mentor, and develop the legal team to ensure high performance and continuous professional growth. Allocate tasks, monitor progress, and ensure timely delivery of legal services across the company. Establish and maintain legal department procedures, workflows, and reporting systems. Education, Experience & Qualifications Bachelor's degree in law (master's degree is preferred). Approximately 10 years of related experience in a legal role in a law firm, or corporate legal department. Proven experience in contract law, corporate governance, regulatory compliance, and litigation. Experience working with or advising on intellectual property matters and licensing. Demonstrated experience in managing legal teams and working closely with senior executives. Expertise in Mergers and Acquisitions (M&A). Proven track record in Post-Merger Integration (PMI). Extensive background in recording minutes during Board Meetings. Strong interpersonal skills such as leadership, communication, persuasion, motivation, and loyalty. Excellent research, analytical, and problem-solving skills. Exceptional written and verbal communication skills. Ability to work independently and collaboratively within a team. Detail-oriented with a high level of accuracy in work. Strong organizational and time management skills to handle multiple tasks and prioritize effectively. Proficiency in legal research tools, document management systems, and office software. High proficiency in English and Arabic languages (both written and spoken).
