Senior Counsel, IQVIA Legal Department
Location: Flexible – major Australian cities (Sydney, Melbourne, Brisbane, Perth, Adelaide)
Work Type: Home Based / Hybrid
Region: ANZ-focused with exposure to Southeast Asia (SEA)
Overview
IQVIA is seeking a highly experienced Senior Counsel to join our ANZ legal team. This role will serve as a trusted legal advisor to the business, with a strong emphasis on M&A and strategic transactions, alongside complex commercial and technology matters.
Supporting operations primarily across Australia and New Zealand, with involvement in broader APAC transactions, this role offers the opportunity to work at the forefront of digital health, life sciences, and data-driven innovation.
Key Responsibilities
- Lead legal support for mergers & acquisitions, divestitures, joint ventures, and strategic investments
- Manage end-to-end transaction lifecycle, including structuring, due diligence, negotiation, and execution
- Conduct and oversee legal due diligence, with a focus on:
- Commercial contracts
- Technology assets and IP
- Data privacy and cybersecurity
- Regulatory risks in healthcare and life sciences
- Draft and negotiate transaction documents (SPAs, asset purchase agreements, JV agreements, etc.)
- Partner with internal stakeholders (corporate development, finance, business leaders) to drive deal execution
- Manage external counsel and support post-deal integration, including contract and technology transition
- Draft, review, and negotiate complex commercial and technology agreements, including:
- SaaS, cloud and software licensing
- Data analytics and digital health solutions
- Vendor, customer, and strategic partnership agreements
- Provide advice on technology, digital health, and data-related risks, including IP, data privacy, and regulatory compliance
- Ensure all contracts comply with legal, regulatory, and internal policy frameworks
- Act as a trusted advisor on legal risk in regulated environments, particularly within healthcare and life sciences
- Support compliance with local and regional regulatory requirements, including data privacy and industry-specific obligations
- Advise business leaders on operational and commercial risk
- Provide guidance on employment law matters in partnership with HR
- Support dispute resolution and litigation strategy, including coordination of outside counsel
- Advise on IP, privacy, and other general corporate legal matters
Required Education and Experience
- L.L.B, L.L.M or JD, or equivalent (admitted to practice in Australia)
- 10+ years’ post qualified experience, with strong experience in:
- M&A / corporate transactions (essential)
- Commercial contracting and technology transactions
- SaaS, technology contracts, and data-driven business models
- Data privacy, IP, and regulatory frameworks
- Experience in digital health, pharmaceuticals, or life sciences strongly preferred
- Experience working across multi-jurisdictional matters (APAC exposure desirable)
- Exceptional drafting, negotiation, and stakeholder management skills
- Ability to manage complex, cross-functional projects independently in a fast-paced environment
- Strong commercial acumen with the ability to balance risk and business outcomes
- Highly organised with excellent attention to detail and ability to manage competing priorities
- Confident communicator with the ability to influence senior stakeholders
- Agile mindset with the ability to learn new areas of law quickly
