JOB SUMMARY
Cresco is seeking an experienced Counsel / Senior Counsel to join its in-house legal team. This position will report to the General Counsel and will work closely with executive leadership, finance, investor relations, and cross-functional business teams. The ideal candidate will possess a strong business partner mindset and be able to deliver exceptional execution under tight deadlines while managing multiple workstreams simultaneously. This role will support a broad range of public company, corporate governance, securities, financing, and strategic transaction matters in a fast-paced, highly regulated environment. Title and level will be determined based on the candidate’s experience.
CORE JOB DUTIES
- Lead the preparation, review, and filing of periodic and current reports (10-K, 10-Q, 8-K) and other SEC filings, working closely with finance, investor relations, and external advisors
- Manage the proxy statement process end-to-end, including drafting, review, and coordination with internal and external stakeholders
- Advise on Section 16 reporting, Rule 10b5-1 trading plans, insider trading policy, and Regulation FD compliance
- Monitor developments in U.S. and Canadian securities laws and exchange rules (including CSE and OTC requirements) and translate them into actionable guidance for the business
- Serve as a primary legal point of contact for the Board of Directors and its committees, including drafting and reviewing board and committee materials, agendas, resolutions, written consents, and minutes
- Advise on governance best practices, committee charters, corporate policies, and director and officer matters
- Support annual meeting planning and execution, including shareholder engagement and voting matters
- Support merger and acquisition activity, strategic investments, financing matters, and other corporate transactions, including conducting due diligence and drafting and negotiating relevant agreements
- Assist with financing matters, including work related to Cresco’s credit facility and other capital markets activity
- Oversee subsidiary management, corporate organizational documents, entity management, and maintenance of corporate records
- Partner cross-functionally with Finance, Treasury, HR, Compliance, Investor Relations, and other business teams on strategic projects and operational initiatives
- Manage and interface with outside counsel, including scope, budget, and quality of work product
- Help build and continuously improve scalable legal processes, templates, and playbooks
REQUIRED EXPERIENCE, EDUCATION AND SKILLS
- JD required and active license to practice law in any U.S. state
- At least 8 years of relevant legal experience, including at a law firm and/or in-house at a U.S. public company
- Strong experience with SEC reporting, securities law compliance, corporate governance, and board support
- Experience with M&A, corporate transactions, and financing matters preferred
- Strong analytical skills and ability to think through critical information, make informed recommendations, and problem-solve
- Excellent drafting, organizational, written, and oral communication skills
- Ability to work independently and collaboratively across cross-functional teams in a fast-paced environment
- Flexible, self-starting, and capable of managing multiple priorities simultaneously
- Demonstrated sound judgment, high integrity, and business-oriented decision-making
- Experience advising within a highly regulated industry preferred
- Desire to grow and succeed in a role that will continue to evolve over time

- Chicago-based required
- Chicago-based candidates are expected to work from the corporate office regularly, with in-office days aligned to business and team needs
