  • Own end-to-end M&A projects across multiple jurisdictions;
  • Support licenses and corporate finance initiatives from a transaction and regulatory perspective;
  • Provide day-to-day legal advice to company on corporate, commercial, and financing matters;
  • Draft, review, negotiate, and advise on a wide range of agreements, including commercial contracts, service agreements, and shareholder agreements;
  • Manage and coordinate external legal advisers in Cyprus and other jurisdictions, ensuring efficiency, quality, and cost control;
  • Provide legal support throughout the lifecycle of M&A transactions, including acquisitions, disposals, and restructurings;
  • Participate in transaction structuring, legal risk assessment, and deal execution under Cyprus and cross-border frameworks;
  • Coordinate legal due diligence exercises, including due diligence reports and risk matrices;
  • Draft, review, and negotiate transaction documentation, including SPAs, SHAs, asset purchase agreements, disclosure letters, and ancillary documents;
  • Support post-completion integration, corporate reorganisations, and implementation of transaction-related obligations;
  • Advise on intragroup financing structures, including intercompany loans, guarantees, and security packages.
  • Draft, review, and negotiate finance documentation, including loan agreements, facility agreements, and security documents;
  • Support debt capital markets (DCM) projects, including bond issuances, private placements, and listed or unlisted debt instruments, under Cyprus and EU law;
  • Liaise with external counsel, arrangers, trustees, and regulatory bodies in relation to financing transactions;
  • Ensure compliance with corporate benefits, financial assistance rules, and directors’ duties under Cyprus law;
  • Showing the best practices on how to approach tasks and offer guidance to the team members;
  • Staying informed about professional knowledge and using it in your daily work;
  • Performing any other relevant duties as may be required by CLO or other tasks related to the company’s or the Group’s needs.
  • 8+ years of relevant legal experience, preferably within an international law firm or in-house legal team of a financial services / corporate group;
  • Qualification in English or U.S. law (UK or US admitted lawyer strongly preferred);
  • Proven experience in M&A transactions, including cross-border acquisitions, disposals, and corporate restructurings;
  • Strong background in corporate law, commercial contracts, and corporate finance;
  • Demonstrated experience in transaction structuring, legal due diligence, and deal execution;
  • Hands-on experience drafting and negotiating transaction documents (e.g., SPAs, SHAs, asset purchase agreements, disclosure letters);
  • Experience with financing transactions, including loan agreements, security documents, and intragroup financing arrangements;
  • Exposure to debt capital markets (DCM) transactions (e.g., bond issuances, private placements) is a strong advantage;
  • Solid understanding of multi-jurisdictional legal frameworks, ideally including Cyprus and EU law;
  • Experience managing and coordinating external counsel across multiple jurisdictions;
  • Strong knowledge of corporate governance, directors’ duties, and regulatory considerations;
  • Ability to work independently on complex projects and manage multiple priorities in a fast-paced environment;
  • Excellent drafting, negotiation, and communication skills in English.
