Overview

The Director of Internal Audit supports the Head of Internal Audit in building, leading and executing CB&I’s global Internal Audit program. Operating with a high degree of autonomy, this role plans, directs, and oversees departmental processes and systems to ensure effective audit operations. This role is responsible for driving high-quality audit execution, strengthening internal controls, and delivering actionable insights that enhance risk management, governance, and operational performance. This role ensures consistency and integrity in audit methodologies across the function.

Serving as a key liaison between audit leadership and business stakeholders, the Director aligns audit activities with the company’s risk profile and strategic priorities. The position requires extensive public company experience, including deep expertise in SOX compliance, internal controls over financial reporting (ICFR), and interaction with external auditors. This position is a Director role. The role directly reports to the Sr Dir, Internal Audit and routinely interacts with CFO, Executive Leadership Team, Chairman of the Audit Committee, Third Party Firms and Partners, and the Internal Audit Team.

Responsibilities

Audit Execution, Leadership & Operational Support

  • Lead and manage multiple internal audit engagements and projects concurrently, ensuring effective prioritization and delivery.
  • Provide functional leadership over audit execution, ensuring compliance with departmental policies, procedures, and methodologies.
  • Define and approve audit objectives, scope, and overall audit plans, with a focus on high-risk areas.
  • Oversee audit progress against approved work plans by reviewing deliverables, delegating tasks appropriately, and ensuring timely, cost-effective completion.
  • Ensure consistent application and continuous improvement of audit methodologies and standards.
  • Align audit activities with business objectives by maintaining a strong understanding of company operations, risks, and strategic priorities.
  • Maintain and enhance departmental audit standards, processes, and tools.
  • Lead the resolution of complex or cross-functional business issues identified through audit activities.
  • Support audit leadership in overseeing departmental operations, including audit programs, performance feedback, and administrative processes.
  • Identify and implement improvements to enhance audit effectiveness and efficiency.
  • Promote adherence to audit policies, standards, and governance requirements.
  • Review and finalize reporting, both written and oral, to key internal customers.
  • Manage CB&I code of conduct investigations when requested by Ethics & Compliance and approved by Sr Dir, Internal Audit.
  • Support change initiatives and perform additional leadership responsibilities as assigned.

SOX / ICFR & Compliance

  • Lead and manage the execution of the company’s ICFR / SOX 404 program.
  • Oversee SOX testing activities in coordination with Internal Controls, ensuring alignment of audit methodologies and coverage of key controls.
  • Partner with the Internal Controls Manager and Sr Director of Internal Audit to ensure audit approaches adequately address key financial reporting risks and control requirements.
  • Identify and implement opportunities to integrate and streamline Internal Audit and external audit procedures to improve efficiency and optimize combined assurance efforts.
  • Review and approve ICFR / SOX 404 workpapers and perform testing as needed to ensure quality and completeness.
  • Serve as a primary liaison with external auditors, including participating in status meetings and proactively facilitating issue resolution and alignment.

Risk Management & Controls

  • Support development and dynamic refinement of the annual risk-based audit plan based on evolving business risks.
  • Lead ongoing risk assessment activities to identify emerging risks and shifts in the control environment.
  • Recommend audit plan adjustments to ensure continued alignment with enterprise risk priorities.
  • Foster strong relationships with business and project leadership to proactively identify risks and drive risk awareness.

Leadership & Team Development

  • Train, coach, and mentor audit staff to develop skill levels and auditing effectiveness.
  • Establish an atmosphere of trust, honesty, and respect among team members that encourages communication and allows the Team to effectively accomplish assigned tasks within defined cost, schedule, and quality assurance requirements.

Qualifications

Required

  • An undergraduate degree in accounting, finance, business, or related field required.
  • 10 – 15 years of progressive experience in internal audit, public accounting, or risk management, including public company experience.
  • Demonstrated expertise in SOX compliance and ICFR frameworks.
  • Experience working with external auditors in a public company environment.
  • Strong knowledge of financial reporting, internal controls, and audit methodologies.
  • High mobility required with the ability to travel 10 – 20%, domestically and internationally.

Preferred

  • An audit-relevant certification (CPA, CIA, CISA, and / or ACA).
  • Experience in EPC, construction, engineering, or project-based industries.
  • Background in Big 4 or national public accounting firms.
  • Experience auditing large capital projects and complex revenue recognition environments.
  • Exposure to audit analytics, data visualization, and continuous auditing tools.
  • Strong communication skills with the ability to influence senior stakeholders.
