Job description
We are seeking a highly experienced and detail-oriented Corporate Secretarial Manager to join our team in Singapore. The successful candidate will have a strong background in corporate services within the financial services sector, ensuring compliance with Singapore regulatory requirements and supporting a portfolio of clients with high-quality governance and company secretarial services.
Key Responsibilities
Corporate Secretarial & Governance
•
Manage a portfolio of clients, primarily within the financial services sector (e.g., fund management companies, private equity firms, SPVs).
•
Ensure full compliance with the Singapore Companies Act, ACRA requirements, and relevant regulatory frameworks (e.g., MAS regulations).
•
Organize and attend board and shareholder meetings; draft and review board resolutions, minutes, and statutory documents.
•
Maintain and update statutory records, registers, and filings in a timely and accurate manner.
Regulatory Compliance
•
Monitor and ensure compliance with Monetary Authority of Singapore (MAS) regulations where applicable.
•
Handle annual filings, including annual returns, financial statements, and XBRL submissions.
•
Support clients with regulatory changes, corporate restructuring, and governance best practices.
•
Liaise with auditors, regulators, and external advisors as needed.
Client & Stakeholder Management
•
Act as the primary point of contact for clients, delivering high-quality and responsive service.
•
Build and maintain strong relationships with clients, internal stakeholders, and external service providers.
•
Provide guidance on corporate governance matters and statutory compliance.
Team Leadership & Operational Excellence
•
Supervise and mentor junior team members, providing guidance and reviewing deliverables.
•
Ensure efficient workflow management, including prioritization of deadlines and high-volume deliverables.
•
Contribute to process improvements and standardization within the corporate secretarial function.
Qualifications & Experience
•
Bachelor’s degree in Law, Business Administration, Accounting, Finance, or a related discipline.
•
ICSA / Chartered Governance Institute (CGQP) qualification (or equivalent professional qualification) is highly preferred.
•
Minimum of 10 years of overall corporate secretarial experience, with at least 5 to 7 years in a managerial or supervisory capacity, preferably within a corporate services provider or financial services environment in Singapore.
•
Proven experience managing a portfolio of financial services clients, including fund management companies, asset managers, private equity firms, and SPVs.
•
Strong working knowledge of the Singapore Companies Act, ACRA requirements, and hands-on experience with BizFile+ filings.
•
Solid understanding of Monetary Authority of Singapore (MAS) regulations, particularly as they apply to licensed or regulated financial institutions.
•
Demonstrated experience in handling end-to-end corporate secretarial work, including board support, statutory compliance, and complex corporate actions (e.g., restructuring, share allotments, changes in directors/shareholders, and regulatory submissions).
•
Prior experience leading teams, reviewing deliverables, and managing client relationships independently.
•
Familiarity with corporate governance best practices and the ability to advise senior stakeholders and clients effectively.
•
Experience working in a fast-paced, client-facing environment, with the ability to manage multiple deadlines and stakeholders concurrently.
