The Challenge
We are looking for an experienced attorney to serve as a key member of the Legal Department's commercial legal team (which primarily supports the sales, sourcing and marketing functions), with primary responsibility for supporting all aspects of the global sourcing of commodities, parts and sourced finished goods (SFG), with secondary responsibility to support other commercial teams. This role will also be primarily responsible for the legal relationship with the company’s joint venture/SFG supplier. This role will also have responsibility in managing some portion of the company’s growth initiatives through acquisition.
What you will Do
- Structure, draft, review, negotiate and provide advice with regard to a wide range of commercial agreements and documents relating to business transactions involving the company, including primary responsibility for contracts supporting the global sourcing of commodities, parts, and SFGs., and secondary responsibility for the other commercial teams within the company.
- Be the primary legal department liaison between GEA in intracompany sourcing, including with GEA’s parent, affiliates, and joint venture.
- Work cross-functionally with sourcing, finance, tax, global trade compliance, technology teams, both domestically and internationally, to identify risks and help implement effective enterprise-wide solutions for the business.
- Identify and analyze legal issues, create and implement creative solutions in order to allow the company to achieve business objectives within risk tolerances.
- Assist in developing materials for and in the training of sourcing clients.
- Manage a Paralegal responsible for supporting commercial, sourcing, and privacy lawyers
What you need to Succeed
Minimum Qualifications
- Juris Doctorate from an accredited law school with active bar membership, in good standing, in any US state, and ability to gain admission to the Kentucky Bar as in-house counsel.
- 10+ years of experience practicing law in a law firm and/or corporate legal department, primarily in transactional practice that includes a significant exposure to supply chain and/or sales, custom and trade regulation (including tariffs), and technology issues.
- Dynamic, positive, proactive, and creative thinker with effective problem-solving skills.
- Demonstrated experience identifying and resolving legal issues quickly and effectively.
- Ability to manage multiple projects and heavy workload in fast-past business.
- Strong judgment and ability to understand and balance business/legal considerations.
- Outstanding interpersonal, analytical, diplomatic, communication (oral and written), and computer skills. Ability to influence others and to manage and enforce key processes.
- Willingness to respond to internal clients in multiple time zones during and after regular business hours.
Preferred Qualifications
- Experience with one or more of the following subject matters:
- Mergers and acquisitions
- International sourcing and/or sales
- Commercial (UCC) or distribution litigation
- General liability insurance
- Credit and/or secured transactions
- Privacy law
- Competition law
- Commercial law counseling involving consumer products
- In house practice in a consumer product or major manufacturing company
