Role Purpose

The role provides practical company secretarial and governance support to help the organisation meet its statutory obligations, maintain effective Board and Committee processes, and ensure accurate entity records are kept.

As a Company Secretary Assistant, you will work closely with senior leadership, Board members, and external advisers to support statutory filings, governance processes, and the effective management of corporate entities.

Role Responsibilities

Board & Committee Support

  • Assist with the preparation and distribution of Board and Committee agendas, papers and minutes
  • Coordinate meeting logistics, including scheduling, venue arrangements and circulation of materials
  • Maintain accurate records of Board and Committee decisions and track follow-up actions

Statutory Compliance & Filings

  • Support the maintenance of statutory registers and records
  • Assist with Companies House filings and the timely submission of statutory documents
  • Monitor relevant legislative and regulatory changes and support implementation of new requirements

Governance & Policy Support

  • Support the development, maintenance and periodic review of governance policies, procedures and frameworks
  • Assist with Board effectiveness reviews and follow-up on agreed governance improvements
  • Support alignment with applicable corporate governance codes, legislation and good practice

Entity Management

  • Maintain accurate group entity records, including incorporation documents, share registers and director details
  • Support the onboarding and offboarding of Directors and officers, including related regulatory notifications

General Company Secretary Administration

  • Liaise with external advisers, including legal, audit and tax advisers, as required
  • Provide administrative and governance support to the Company Secretary and Legal team
  • Assist with ad hoc company secretarial and governance projects

Skills & Experience

Essential

  • Strong written communication skills and attention to detail
  • Strong organisational skills
  • Ability to handle confidential information appropriately
  • Proficiency in Microsoft Office and board portal software
  • Degree in Law, Business Administration or a related field

Desirable

  • Experience in a company secretarial, governance, legal or professional services support role
  • ICSA/CGI qualification or working towards it
  • Familiarity with UK corporate governance and Companies Act requirements
  • Familiarity with the appropriate use of artificial intelligence tools to support company secretarial and governance work
