Legal advisor, corporate & compliance
Job description
The Legal Advisor, Corporate & Compliance supports corporate governance, legal entity management, and compliance activities across Proximus Global and its subsidiaries. The advisor provides legal guidance on corporate and regulatory matters and helps ensure adherence to legal requirements across multiple jurisdictions.
Key responsibilities
- Legal Entity Management under the guidance of the PXS Corporate Counsel
- Maintain statutory registers, corporate records and governance documentation for BICS and Telesign group entities
- Oversee legal housekeeping, including approval of annual returns and director appointments
- Coordinate with external counsel and corporate secretaries across jurisdictions to ensure compliance with local laws
- Support the incorporation, dissolution and restructuring of legal entities.
- Track legal entity obligations and maintain compliance calendars.
- Maintain repository of corporate documents, powers of attorney, shareholder resolutions and constitutional documents
- Legal Advisory & Risk Mitigation
- Provide legal advice on corporate structure, governance risks, and regulatory developments (infrastructure setup, export matters and security topics)
- Identify and mitigate legal risks related to governance, including conflicts of interest and disclosure obligations
- Conduct legal risk assessments and advise on mitigation strategies across departments (e.g. creation of new entities/point of presence, export of equipment…)
- Support the PXG Compliance Officer with compliance matters
- Assist in sanctions screening, due diligence and compliance monitoring activities
- Assist in data collection for ESG queries
- Collect data with regards to mandatory training for Telesign and its subsidiaries
- Liaise with external counsel for review of mandatory local policies
- Assist the Compliance Officer in the administration of compliance programmes.
- Collect and consolidate compliance data for internal reporting, audits and ESG-related requests.
- Support the review and maintenance of Group policies and compliance procedures.
- Assist in preparing documentation for internal investigations, audits and compliance reviews.
- Policy Development & Implementation
- Assist in reviewing draft internal governance policies in the relevant entities
- Ensure policies are communicated, understood, and adhered to across the organization
Essential Requirements
- Bachelors in law or equivalent through experience
- 3 years of relevant experience in a corporate or legal environment
- English (excellent written and verbal command)
- Pro-activity
- Analytical skills and attention to detail (accuracy/thoroughness)
- Ability to recognize essentials and problem-solving skills
- Strong organizational skills
- Strong understanding of corporate law for the management of entities and governance frameworks
