Job description
We are seeking a proactive and detail-oriented Company Secretary with 2–3 years of experience, preferably in a manufacturing environment. The role will be responsible for ensuring corporate governance, statutory compliance, secretarial matters, legal contract administration, trade compliance activities, and supporting management on regulatory and compliance-related matters. This is a cross-functional role that extends beyond traditional Company Secretarial responsibilities and offers exposure to legal, compliance, trade compliance, and finance functions. The ideal candidate should be willing to work closely with the Finance & Accounts team and support broader business compliance and governance initiatives.
Key Responsibilities
Ensure compliance with the Companies Act, Secretarial Standards, and other applicable regulations. Manage Board, Committee, and Shareholder meetings, including preparation of agendas, resolutions, and minutes. Maintain statutory records and complete regulatory filings. Review and manage commercial contracts, NDAs, customer, vendor, and service agreements. Coordinate with legal counsel on legal and compliance matters. Support import/export and trade compliance activities. Assist in compliance audits, internal controls, and risk management initiatives. Liaise with auditors, regulators, and internal stakeholders.
Qualified Company Secretary (ICSI Member). 2–3 years of relevant post-qualification experience. Manufacturing industry experience preferred. Knowledge of corporate laws, secretarial compliance, and contract review. Basic understanding of trade compliance and regulatory requirements. Willingness to work closely with the Finance & Accounts department and support finance-related compliance activities. Strong communication, drafting, analytical, and organizational skills. High level of integrity, professionalism, and attention to detail.
