Job Summary:
A mid-level secretarial position responsible for delivering comprehensive secretarial services. This role handles low to medium-complexity processes, focusing on core operational activities and standard communications. The position requires independent execution of established procedures while maintaining quality standards, with work reviewed by Senior Officer.
What you will do :
- Corporate Secretarial & Governance: Prepare board and general meeting documents (agendas, convocation letters, attendance lists, power of attorney); draft and write meeting minutes; prepare resolutions and statutory documentation; manage structural updates, UBO identification and registration, dividend distributions, and liquidation matters.
- Compliance & Risk Management: Conduct client file reviews and due diligence assessments; perform compliance checks including bad press and world checks; execute transaction monitoring and PEP identification; conduct serviced entity risk rating (SERR) assessments; prepare compliance memos and notes to committees.
- Transaction Processing & Documentation: Process payment instructions and bank account opening requests; manage capital and share premium contributions; handle share and dividend distributions; assist with bank periodic file reviews and changes in bank signatories; draft agreements including loan and contribution agreements.
- Client File & Due Diligence Management: Review client due diligence (CDD) documents and CDD worksheets from junior staff; maintain accurate client records; identify and document beneficial ownership information; prepare supporting documentation for regulatory submissions.
- Administrative Support & Regulatory Coordination: Process and monitor all transaction documentation; provide administrative support to ensure compliance with regulatory requirements; handle additional duties as assigned; coordinate with internal teams and external stakeholders on trust administration matters.
Educational Background: • Degree holder and/or related Professional qualification
Professional Experience: • Minimum 2 years of experience in Corporate Administration and Secretarial matters
